1. These terms
These terms govern the services we provide to you. By engaging us, including by signing a Statement of Work, you agree to them. Where the SOW and these terms conflict, the SOW prevails for that project.

2. Our services
We design and build websites, apps and custom software. The exact scope, deliverables, plan and launch date for your project are set out in your SOW. Anything not listed in the SOW is out of scope until agreed in writing.
3. Quotes, prices & tax
Prices are quoted in Indian Rupees (₹) and are valid for 30 days unless stated otherwise. Our prices are exclusive of GST. GST at the prevailing rate (currently 18%) is added on every invoice, and a GST invoice is issued for each payment.
Launch pricing and any discounts are shown at the time of quoting and apply to the project booked during that period. Third-party costs, domains, hosting, cloud usage and app-store fees, are paid to those providers and are separate from our quote.
4. Payment
Unless your SOW says otherwise, payment is staged: 30% on signing · 40% on staging / first build · 30% on launch.
UPI, NEFT/RTGS or card via Razorpay, GST invoice on every payment. Invoices are due on the date shown. We may pause work on overdue accounts after giving you notice.
5. Your responsibilities
- Provide the content, brand materials, access and approvals we need, on time.
- Give feedback within agreed review windows so the timeline holds.
- Make sure you have the rights to any content you give us to use.
Delays caused by missing materials or approvals may move the launch date and are not covered by our deadline guarantee.
6. Timelines & our guarantee
We commit to a launch date in your SOW. Our deadline-and-design guarantee applies where a delay is our fault, see the guarantee page for the full terms. The guarantee is in addition to, and does not limit, your rights under the Consumer Protection Act, 2019.
7. Revisions & changes
Your plan includes a set number of revision rounds, stated in the SOW. Changes that go beyond the agreed scope (new pages, new features, redesigns) are quoted separately before we start them.
8. Ownership & intellectual property
Once you have paid in full, you own the final deliverables we create specifically for you. We keep ownership of our pre-existing tools, frameworks and know-how, and grant you a licence to use them as part of your deliverables. We may show non-confidential work in our portfolio unless you ask us not to.
9. Third-party services
Hosting, domains, payment gateways, app stores and cloud platforms are provided by third parties under their own terms. We are not responsible for outages or changes in those services, though we will help you manage them where you ask us to.
10. Warranties & liability
We provide our services with reasonable care and skill. Nothing in these terms excludes or limits any rights you have that cannot be excluded under the Consumer Protection Act, 2019 or other applicable law. Subject to that, our total liability for any claim is limited to the fees you paid us for the project the claim relates to, and we are not liable for indirect or consequential loss.
11. Cancellation & refunds
You may cancel a project in writing at any time. Fees for work completed up to the cancellation date are payable; amounts paid for work not yet started are refundable. Our deadline-and-design guarantee sets out the specific refund promises that apply if we are at fault.
12. Governing law
These terms are governed by the laws of India, and disputes are subject to the courts at our registered office in India. We will always try to resolve any issue with you directly first.
